(Crypto Mining Hardware & Related Equipment)

 

These Terms of Sale govern all purchases from Hashrate.co.za (“the Supplier”). By placing an order, making payment, accepting delivery, requesting technical assistance, or operating equipment supplied by the Supplier, the customer (“the Customer”) agrees to be bound by these Terms.

 

These Terms must be read together with the Supplier’s Shipping Policy and Refund Policy. In the event of conflict, these Terms of Sale prevail.

 

 

 

1. GENERAL APPLICATION

 

These Terms apply to all ASIC miners, hardware, components, accessories, replacement parts, control boards, power supplies, firmware assistance, sourcing services, and related equipment supplied or facilitated by the Supplier.

 

Where the Customer is a juristic person whose asset value or annual turnover exceeds the threshold prescribed under the Consumer Protection Act (“CPA”), the CPA may not apply to that transaction, to the extent permitted by the CPA and applicable regulations.

 

Nothing in these Terms limits any statutory rights the Customer may have under applicable law. Where the CPA applies, the Supplier will comply with its statutory obligations in accordance with the Act.

 

 

 

2. NATURE OF ASIC MINING EQUIPMENT

 

ASIC mining hardware is specialised, high-performance electronic equipment designed for sustained operation under significant electrical and thermal load in controlled industrial environments.

 

Such equipment is not ordinary consumer electronics and is inherently subject to elevated component stress due to continuous high-intensity operation.

 

Cryptocurrency mining is a volatile and speculative commercial activity. The Supplier:

    Makes no representation or guarantee regarding profitability, mining output, or future returns;

    Makes no representation regarding payback period or return on investment;

    Does not provide financial, investment, or profitability advice;

    Does not warrant suitability for any specific mining strategy, hosting model, electricity tariff, or operational objective;

    Does not guarantee uninterrupted operation.

The Customer acknowledges that mining profitability and output are materially affected by factors beyond the Supplier’s control, including but not limited to:

    Network difficulty adjustments;

    Global hash rate fluctuations;

    Cryptocurrency market volatility;

    Block reward changes;

    Mining pool performance;

    Power pricing;

    Regulatory changes.

 

All performance specifications are manufacturer-provided nominal figures and may vary based on:

    Electrical supply quality and stability;

    Cooling efficiency and airflow;

    Ambient temperature and humidity;

    Firmware configuration;

    Operating frequency and voltage settings;

    Manufacturing tolerances;

    Component ageing over time.

 

Hash rate performance may fluctuate and does not constitute a guaranteed output level.

 

The Supplier does not guarantee:

    Continuous operation;

    Fixed operational lifespan;

    Immunity from component degradation;

    Compatibility with future firmware releases;

    Continued manufacturer production or support.

 

By purchasing the equipment, the Customer confirms that they understand the industrial and high-stress nature of ASIC mining hardware and accept the operational and commercial risks inherent in cryptocurrency mining.

 

 

 

2A. HIGH-RISK EQUIPMENT DISCLOSURE & ENVIRONMENTAL ACKNOWLEDGEMENT

 

The Customer expressly acknowledges that ASIC cryptocurrency mining hardware constitutes high-risk, high-load industrial electronic equipment designed for continuous operation under controlled environmental conditions.

 

Such equipment:

    Operates continuously at sustained electrical load.

    Generates significant heat and noise under normal operation.

    Is highly sensitive to voltage stability, airflow, ambient temperature, dust accumulation, humidity, and configuration.

    Is subject to accelerated component wear compared to ordinary consumer electronics.

    May experience reduced lifespan where operated at elevated performance settings or in uncontrolled environments.

 

The Customer further acknowledges and agrees that:

    ASIC miners must be operated in a clean, dust-controlled environment.

    Air intake pathways, heatsinks, and internal components must be kept free of dust and debris.

    Excessive dust accumulation restricts airflow, causes overheating, and may result in irreversible chip or hashboard damage.

    The operating environment must be reasonably humidity-controlled to prevent corrosion, oxidation, and moisture-related component degradation.

    The Customer is solely responsible for implementing appropriate filtration, ventilation, cleaning schedules, and environmental monitoring.

 

Cryptocurrency mining is a speculative commercial activity. Hardware performance, stability, and longevity are materially affected by:

    Environmental conditions,

    Electrical supply quality,

    Firmware configuration,

    Operational intensity,

    Maintenance practices undertaken by the Customer.

 

Failures may occur even where equipment is properly installed due to the inherently high-stress nature of the application.

 

The Supplier does not guarantee uninterrupted operation, fixed service life, or immunity from component degradation.

 

By purchasing and operating the equipment, the Customer confirms that they understand and accept the operational risks associated with high-performance mining hardware and accept full responsibility for maintaining a suitable operating environment.

 

 

3. ORDERS, SUPPLY & PAYMENT

 

Orders are confirmed only once full cleared payment has been received and reflected in the Supplier’s account.

 

The Supplier reserves the right to decline, suspend, or cancel any order prior to dispatch in the event of:

    Pricing errors;

    Stock allocation errors;

    Manufacturer withdrawal;

    Payment reversal or suspected fraud;

    Regulatory restriction;

    Force majeure event.

 

 

 

Specially Sourced & Imported Goods

 

Many products are specially sourced, imported, batch-allocated, or procured on demand from international manufacturers.

 

Where goods are specially sourced at the Customer’s request:

    Procurement may commence immediately upon payment;

    Allocation with the manufacturer may be secured upon confirmation;

    Orders may be linked to specific production batches.

 

Cancellation after procurement or manufacturer allocation has commenced may attract a cancellation penalty to cover:

    Manufacturer cancellation charges;

    Foreign exchange exposure;

    International freight;

    Duties and taxes;

    Administrative costs;

    Banking and transaction fees.

 

The Customer acknowledges that specially sourced goods may not be resalable at the same price due to volatility in cryptocurrency markets and manufacturer pricing.

 

 

 

Pricing & Foreign Exchange

 

Pricing may be influenced by:

    USD exchange rates;

    Manufacturer pricing adjustments;

    Shipping cost fluctuations;

    Import duty changes;

    Global supply constraints.

 

Where payment is made in ZAR for goods priced relative to USD manufacturer cost, pricing is fixed at the exchange rate applicable at the time of confirmed payment.

 

The Supplier shall not be liable for subsequent currency fluctuations, cryptocurrency price movements, or market volatility after order confirmation.

 

 

 

Delivery & Supply Risk

 

Delivery timelines are estimates only and are not guaranteed.

 

Delivery may be affected by:

    Manufacturing schedules;

    Production delays;

    Batch allocation timing;

    International freight congestion;

    Port delays;

    Customs inspections;

    Regulatory intervention;

    Global supply chain disruption;

    Public holidays or factory shutdowns;

    Events beyond the Supplier’s reasonable control.

 

Delay shall not constitute breach of contract and shall not entitle the Customer to cancellation, refund, or damages unless required by applicable law.

 

The Supplier does not manufacture the equipment and cannot guarantee:

    Ongoing production continuity;

    Future firmware support;

    Manufacturer spare part availability;

    Long-term product availability.

 

 

 

Payment Integrity

 

Orders paid via electronic transfer, card, or third-party processor remain subject to banking clearance.

 

The Supplier reserves the right to:

    Withhold dispatch pending verification of payment;

    Cancel orders in the event of chargeback or payment reversal;

    Recover costs incurred due to fraudulent or disputed transactions.

 

 

 

4. ROLE OF THE SUPPLIER

 

Hashrate.co.za acts as an independent reseller, sourcing intermediary, and technical facilitator between the Customer and international manufacturers, distributors, and service providers.

 

The Supplier:

    Is not the manufacturer of the equipment;

    Does not design, engineer, or produce the hardware;

    Does not control firmware architecture, security restrictions, chip design, or manufacturing standards;

    Does not control component selection, production tolerances, or factory quality control processes;

    Does not determine manufacturer warranty policies;

    Does not assume manufacturer obligations;

    Does not represent itself as an authorised repair centre unless expressly stated in writing.

 

The Supplier’s role is limited to:

    Supplying equipment as sourced;

    Facilitating communication with manufacturers where requested;

    Assisting with logistics coordination;

    Providing general technical guidance where requested.

 

The Supplier does not assume responsibility for:

    The long-term reliability of the equipment;

    Firmware stability or compatibility;

    Design limitations inherent in the hardware;

    Chip-level performance characteristics;

    System integration at the Customer’s premises;

    Electrical infrastructure suitability;

    Hosting or environmental setup;

    Mining pool configuration;

    Network stability;

    Or operational profitability.

 

Where the Supplier assists with:

    Warranty facilitation;

    Parts procurement;

    Technical liaison;

    Firmware configuration assistance;

    Control board supply;

    Troubleshooting guidance;

 

such assistance is provided strictly as facilitation and does not create:

    An independent service agreement;

    A maintenance contract;

    An engineering obligation;

    A guarantee of outcome;

    Or an assumption of manufacturer liability.

 

The Customer acknowledges that ultimate operational control, configuration decisions, and environmental conditions remain solely within the Customer’s control and responsibility.

 

Nothing in this clause excludes statutory obligations where applicable; however, the Supplier’s role shall not be expanded beyond that of reseller and facilitator.

 

 Any warranty period displayed by a manufacturer, manufacturer app, serial-number checker, or overseas support portal refers to the manufacturer’s own warranty process and does not automatically constitute a warranty offered by Hashrate.co.za as supplier.

 

 

5. WARRANTY POSITION

 

Products are supplied subject to:

    1.    Any statutory rights applicable under South African law (where applicable); and

    2.    The original manufacturer’s warranty terms and conditions.

 

Where the Consumer Protection Act applies, the Supplier will honour its statutory obligations in accordance with the Act. Manufacturer warranties operate in addition to, and not in substitution for, statutory rights where applicable.

 

Manufacturer warranty approval, repair determination, or replacement decisions remain solely at the discretion of the manufacturer. The Supplier does not control, override, or guarantee manufacturer decisions.

 

The Supplier may, at its discretion, assist in submitting warranty claims or coordinating logistics; however:

    Such assistance does not extend warranty coverage;

    Does not create an independent warranty;

    Does not transfer manufacturer responsibility to the Supplier;

    Does not guarantee approval of the claim.

 

 

 

Warranty Eligibility & Exclusions

 

Warranty support (whether statutory or manufacturer-based, where applicable) may be refused, limited, or affected where permissible under applicable law where damage or failure is determined to arise from, or be materially contributed to by:

    Environmental conditions outside recommended operating parameters;

    Excessive dust contamination or debris ingress;

    Inadequate airflow or ventilation;

    Excessive humidity, moisture exposure, or corrosion;

    Electrical instability, voltage fluctuation, surge events, or improper grounding;

    Improper installation or circuit overloading;

    Improper packaging during return shipment;

    Electrostatic discharge (ESD) during handling;

    Unauthorised modification or internal access;

    Third-party firmware installation;

    Security bypass or firmware locking circumvention;

    Overclocking, voltage adjustment, or operation outside manufacturer specifications;

    Replacement or swapping of internal components between machines;

    Mixed OEM parts across serial numbers;

    Removal, alteration, or tampering with serial numbers or identification labels;

    Clearing, resetting, reflashing, altering, or deleting diagnostic logs prior to inspection where such actions prejudice diagnosis or verification.

 

Where a unit has been modified, opened, reconfigured, or operated outside factory parameters, and a failure occurs consistent with thermal, electrical, or configuration-related stress, warranty support may be refused where causation cannot reasonably be excluded. Manufacturer warranties may be refused or limited where the manufacturer determines that the product is damaged, modified, mishandled, incorrectly installed, operated outside specification, affected by corrosion, water damage, power damage, burnt components, broken PCBs, tampering, firmware alteration, unauthorised repair attempts, or any other exclusion under the manufacturer’s warranty policy.Where a manufacturer or authorised repair centre determines that a product is beyond repair, scrapped, excluded from warranty, or not economically repairable, Hashrate.co.za is not responsible for that determination.

 

Serial Integrity & Inspection

 

Warranty applies only to equipment returned in its original serial configuration.

 

The Supplier reserves the right to:

    Inspect serial numbers;

    Inspect internal component consistency;

    Verify that control boards, hashboards, and PSUs correspond to the original unit;

    Review firmware configuration and diagnostic logs;

    Conduct technical inspection prior to determination of warranty eligibility.

 

Returning a unit for inspection does not imply acceptance of warranty coverage.

 

Where inspection reveals that internal components have been swapped, altered, replaced, or mixed across units without written authorisation, warranty support may be refused.

 

 

Burden of Proof in Modified Units

 

Where manufacturer warranty has been voided due to modification or firmware alteration, and statutory rights are asserted, the Customer may be required to demonstrate that the defect is unrelated to such modification.

 

Nothing in this clause excludes statutory rights where applicable; however, eligibility for repair, replacement, or refund may be affected where causation cannot reasonably be determined due to modification or altered configuration.

 

 

 

6. OUT-OF-WARRANTY SUPPORT & PARTS SOURCING

 

Where equipment is determined to be out of warranty, the Supplier may, at the Customer’s request and at its sole discretion, assist in facilitating repair, parts sourcing, manufacturer liaison, or overseas procurement.

 

Such assistance is provided strictly as a facilitation and coordination service and does not constitute:

    A repair contract;

    A guarantee of repair;

    An assumption of manufacturer obligations;

    A warranty extension;

    A representation as to the outcome or viability of repair.

 

The Supplier does not manufacture replacement parts and does not control the quality, authenticity, compatibility, or performance of third-party components sourced through manufacturers or international suppliers.

 

All associated costs shall be for the Customer’s account, including but not limited to:

    Domestic shipping;

    International freight;

    Duties;

    VAT;

    Customs clearance fees;

    Insurance;

    Foreign exchange fluctuations;

    Storage charges;

    Manufacturer inspection fees;

    Diagnostic fees;

    Overseas supplier charges;

    Return freight;

    Re-export costs where applicable.

 

All quotations for out-of-warranty repairs are estimates only and subject to revision upon manufacturer inspection.

 

Repair timelines are estimates only and depend on:

    Manufacturer backlog;

    Parts availability;

    International logistics;

    Customs processing;

    Global supply chain conditions;

    Holiday closures or factory shutdowns.

 

The Supplier shall not be liable for delays arising from the above factors.

 

Where a manufacturer determines that a unit is uneconomical to repair, beyond repair, or excluded from service due to prior modification or damage, the Supplier shall have no further obligation beyond communicating such determination to the Customer.

 

Non-payment / Storage / Sale to Recover Costs:

If payment for out-of-warranty services, inspection, diagnostics, parts, shipping, storage, or any other charges owing is not received within 30 (thirty) days of invoice date (or written notification that the unit is ready for collection/dispatch, whichever occurs first), the Supplier may, after giving the Customer 7 (seven) days’ written notice to the Customer’s last known email address, do one or more of the following (to the extent permitted by applicable law):

    Charge reasonable storage and handling fees until full settlement; and/or

    Withhold release of the equipment until all amounts are paid in full; and/or

    Sell or otherwise dispose of the equipment to recover outstanding amounts, including storage, handling, repair/inspection costs, parts, and reasonable costs of sale.

 

Any net proceeds recovered in excess of the outstanding amounts (after deducting the Supplier’s reasonable costs and fees) will be credited to the Customer. If proceeds are insufficient, the Customer remains liable for the shortfall.

Nothing in this clause limits statutory rights where applicable; however, assistance provided outside formal warranty processing does not create additional liability.

 

 

 

7. THIRD-PARTY FIRMWARE

 

Installation or use of third-party firmware (including but not limited to Braiins, Vnish, Luxor, MARA or similar software) is undertaken entirely at the Customer’s election and risk.

 

The Supplier:

    Does not develop, license, or control third-party firmware.

    Does not guarantee compatibility, stability, or longevity.

    Does not warrant firmware-enabled performance levels.

 

The Customer acknowledges that many manufacturers of ASIC mining equipment implement firmware security protections and restrict the installation of third-party software. Installation of third-party firmware may require bypassing manufacturer security controls or replacing control boards.

 

The Customer further acknowledges that:

    The use of third-party firmware is not authorised by the original manufacturer.

    Installation of such firmware may void the manufacturer’s warranty.

    Reverting firmware to factory settings does not necessarily reinstate manufacturer warranty once modification has occurred.

 

Installation or use of third-party firmware is undertaken entirely at the Customer’s risk. The Supplier does not develop, control, or warrant third-party firmware and shall not be liable for any damage, failure, reduced lifespan, instability, or warranty exclusion arising directly or indirectly from its installation, configuration, or use.

 

Where a failure is reasonably determined to have arisen from firmware modification, overclocking, voltage alteration, control board replacement, or security bypass, warranty support may be refused.

 

Nothing in this clause excludes any statutory rights that may apply under law; however, the burden of proving that a defect is unrelated to firmware modification may rest with the Customer where manufacturer warranty has been voided.

 

 

 

8. PERFORMANCE TUNING & NON-STANDARD OPERATION

 

Operation outside factory-default settings — including but not limited to overclocking, frequency increases, voltage adjustment, custom tuning profiles, third-party firmware configuration, power limit modification, or replacement of control boards to enable alternative firmware — is undertaken entirely at the Customer’s own risk.

 

The Customer acknowledges that operating ASIC mining equipment beyond factory parameters:

    Increases electrical load;

    Increases thermal output;

    Increases stress on hash chips, voltage regulators, and power delivery components;

    Accelerates component wear;

    May materially reduce operational lifespan;

    May invalidate manufacturer warranty coverage.

 

The Supplier shall not be liable for any damage, malfunction, degradation, or loss arising directly or indirectly from non-standard operation, including but not limited to:

    Hashboard failure;

    Chip dropout or “missing chip” errors;

    Thermal runaway;

    Burnt or degraded ASIC chips;

    Voltage regulator module (VRM) damage;

    PSU failure, overload or instability;

    Control board instability;

    Fan failure due to increased thermal load;

    Intermittent hash rate instability;

    Performance throttling or shutdown events;

    Reduced component lifespan;

    Repeated failure across multiple units configured under identical tuning parameters;

    Manufacturer warranty exclusion resulting from modified operation.

 

Where equipment has been operated outside factory parameters, and a failure occurs that is reasonably consistent with elevated thermal or electrical stress, warranty support may be refused or limited.

 

Nothing in this clause excludes statutory rights where applicable; however, where a defect is alleged following modified operation, the Customer may be required to demonstrate that the failure was unrelated to non-standard configuration.

 

 

 

9. INTERNAL ACCESS & MODIFICATION

 

ASIC mining equipment contains sensitive electronic components, including hashboards, control boards, voltage regulation modules, and power delivery systems that are vulnerable to electrostatic discharge (ESD), improper grounding, contamination, mechanical stress, and configuration inconsistency.

 

The Customer must not open, alter, repair, dismantle, modify, reconfigure, or exchange internal components without prior written authorisation from the Supplier issued via an official @hashrate.co.za email address.

 

For the avoidance of doubt, unauthorised actions include (but are not limited to):

    Swapping hashboards between machines;

    Swapping PSUs between units;

    Mixing OEM components across serial numbers;

    Replacing internal parts without written approval;

    Installing non-original control boards;

    Replacing or modifying voltage regulators;

    Disconnecting or altering factory wiring configurations;

    Bypassing manufacturer security controls;

    Removing, altering, or tampering with serial number labels;

    Opening sealed units where manufacturer seals are present.

 

Such actions constitute modification of the equipment and may:

    Void the manufacturer’s warranty;

    Affect statutory warranty assessment where causation cannot be reasonably determined;

    Compromise serial integrity;

    Prejudice diagnostic analysis;

    Invalidate support eligibility.

 

The Supplier shall not be liable for damage arising directly or indirectly from unauthorised internal access, including but not limited to damage caused by:

    Electrostatic discharge (ESD);

    Improper grounding;

    Non-compliant handling procedures;

    Failure to use appropriate anti-static protection;

    Contamination during internal access;

    Dust or debris introduced during dismantling;

    Short circuiting;

    Connector misalignment or pin damage;

    Incorrect reassembly;

    Improper torque or mechanical stress;

    Incompatible component installation.

 

Where internal components have been swapped, altered, or mixed across units without written authorisation, the Supplier reserves the right to:

    Refuse warranty;

    Reject claims where component integrity cannot be verified;

    Charge inspection and diagnostic fees.

 

Silence, delay, failure to object, prior leniency, or informal communication shall not constitute authorisation or approval of internal modification.

 

Any permission granted for limited inspection or non-invasive checks shall not be interpreted as permission to dismantle, swap, or replace internal components unless expressly stated in writing.

 

Nothing in this clause excludes statutory rights where applicable; however, where internal modification has occurred, the burden of demonstrating that a defect is unrelated to such modification may rest with the Customer where manufacturer warranty has been voided.

 

 

 

10. ELECTRICAL & ENVIRONMENTAL RESPONSIBILITY

 

The Customer bears sole and ongoing responsibility for ensuring that the operating environment and electrical infrastructure are suitable for sustained high-load ASIC mining operation.

 

This includes, but is not limited to ensuring:

    Stable voltage supply within acceptable tolerance;

    Proper earthing and grounding in compliance with applicable electrical standards;

    Suitable breaker ratings for continuous industrial load;

    Appropriate cable sizing and current capacity;

    Adequate cooling capacity relative to total installed load;

    Proper airflow direction and ventilation design;

    Acceptable ambient temperature levels within manufacturer specifications;

    Surge protection, phase protection and voltage regulation;

    Protection against brownouts, spikes, harmonics, and transient events.

 

ASIC mining hardware operates under sustained high electrical load and elevated temperatures and is inherently subject to accelerated component wear. Minor electrical instability or inadequate environmental control may materially increase the risk of:

    Hashboard failure;

    Chip dropout;

    Thermal shutdown;

    Voltage regulator damage;

    PSU instability;

    Intermittent faults;

    Corrosion-related degradation;

    Reduced component lifespan.

 

The Supplier does not control and is not responsible for the Customer’s:

    Electrical installation;

    Power quality;

    Cooling design;

    Environmental management;

    Hosting conditions;

    Infrastructure adequacy;

    Third-party electricians, HVAC or installers.

 

 

 

Environmental Maintenance Obligations

 

The Customer is responsible for maintaining:

    Dust-free intake conditions;

    Regular cleaning schedules;

    Functional filtration systems where applicable;

    Controlled humidity levels;

    Prevention of condensation or moisture ingress;

    Adequate spacing between machines to prevent thermal recirculation.

 

Failure to maintain appropriate environmental conditions may void manufacturer warranty and may materially affect statutory warranty assessment where causation cannot reasonably be excluded.

 

 

 

Verification in Cases of Repeated Failure

 

Where repeated failures occur at the same site, the Supplier may request reasonable technical verification prior to escalation to the manufacturer.

 

This may include, but is not limited to:

    An electrical compliance certificate (where applicable);

    A load report confirming circuit capacity relative to ASIC draw;

    Voltage readings under load (line-to-line and line-to-neutral where applicable);

    Evidence of stable supply within acceptable tolerance ranges;

    Confirmation of proper earthing/grounding;

    Breaker ratings and cable sizing confirmation;

    Evidence of surge protection and overcurrent protection;

    Harmonic distortion measurements where applicable;

    Ambient temperature readings within the operating environment;

    Confirmation of airflow direction and ventilation adequacy;

    Photographs or video evidence of installation environment;

    Confirmation of humidity levels where corrosion is alleged;

    Confirmation of dust mitigation measures (filtration, cleaning schedule, etc.);

    Firmware configuration screenshots (including frequency, voltage, and tuning settings);

    Operating logs from the unit;

    Confirmation that units remain in original serial configuration (see Section 9).

 

The purpose of such verification is to reasonably exclude environmental, electrical, or configuration-related causation prior to manufacturer escalation.

 

Failure to provide reasonably requested information may:

    Delay escalation to the manufacturer;

    Suspend warranty processing and/or escalation steps pending verification;

    Affect warranty assessment where environmental or electrical causation cannot be reasonably excluded.

 

 

 

Causation Limitation

 

Where failures are consistent with thermal stress, voltage instability, overcurrent, humidity exposure, dust contamination, or improper infrastructure sizing, the Supplier reserves the right to decline warranty processing pending adequate environmental verification to the extent permissible under applicable law.

 

Nothing in this clause excludes statutory rights where applicable. However, where environmental or electrical conditions are materially relevant and outside the Supplier’s control, the burden of demonstrating that a defect is unrelated to such conditions may rest with the Customer where manufacturer warranty has been voided.

 

 

 

11. SHIPPING, IMPORTATION & RISK TRANSFER

 

Unless otherwise agreed in writing, delivery shall occur when the goods are delivered to the Customer or the Customer’s nominated representative at the agreed delivery address.

 

Risk in the goods transfers to the Customer upon delivery. Where the Customer nominates a third-party courier, freight forwarder, agent, or representative, delivery to such party shall constitute delivery to the Customer.

 

Where the Supplier arranges shipment on behalf of the Customer:

    The Supplier acts as a facilitation agent only;

    The Customer remains the ultimate risk holder upon delivery;

    Any claims for transit damage must be lodged in accordance with courier procedures.

 

The Supplier shall not be liable for:

    Customs delays;

    Port congestion;

    Clearance delays;

    Regulatory inspections;

    Transport delays;

    Courier handling errors;

    Lost shipments once handed to carrier;

    Third-party shipping failures;

    Weather disruptions;

    Strikes, civil unrest, or force majeure events;

    Incorrect address information supplied by the Customer;

    Refused deliveries;

    Missed delivery appointments;

    Storage charges imposed by courier due to Customer delay.

 

Where shipping insurance is requested, such insurance shall be subject to the insurer’s terms and claims procedures. The Supplier does not guarantee insurance payout approval.

 

If goods are damaged in transit:

    Visible damage must be noted on delivery receipt;

    Claims must be reported within 24 hours of delivery;

    Failure to report visible damage promptly may prejudice any courier claim.

 

Where goods are shipped internationally, the Customer is responsible for:

    Import duties;

    VAT;

    Clearance fees;

    Regulatory compliance;

    Any additional charges imposed by authorities.

 

Delivery timelines are estimates only and shall not constitute a material term of the agreement unless expressly agreed in writing.

 

Nothing in this clause limits statutory rights where applicable.

 

 

 

12. RETURNS & HANDLING

 

All returns must be pre-approved in writing and accompanied by the relevant return reference number issued by the Supplier. No equipment may be returned without prior written authorisation.

 

Packaging & Condition Requirements

 

Approved returns must be securely packaged using:

    Original manufacturer packaging where available; or

    Equivalent industrial-grade protective packaging suitable for sensitive electronic equipment;

    Anti-static protection (including anti-static bags where applicable);

    Adequate internal cushioning to prevent movement during transit;

    Protection of exposed connectors, fans, antenna and control boards.

 

ASIC mining hardware is highly sensitive to vibration, impact, electrostatic discharge (ESD), dust contamination, and moisture exposure. The Customer is responsible for ensuring the unit is returned in a condition that preserves its integrity and serial consistency.

 

Risk & Liability for Return Shipping

 

Unless expressly agreed otherwise in writing:

    All return shipping is undertaken at the Customer’s cost, risk, and responsibility.

    Risk of loss, theft, or damage during return transit remains with the Customer until the equipment is physically received and signed for at the Supplier’s premises.

 

Where the Supplier assists by booking, arranging, or facilitating collection or shipment of returned equipment:

    The Supplier acts strictly as a logistical facilitator only;

    The Customer remains responsible for all shipping costs unless expressly agreed otherwise in writing;

    Booking assistance does not transfer transit risk or liability to the Supplier.

 

The Supplier does not assume liability for:

    Courier negligence;

    Transit damage;

    Loss in transit;

    Delays during return shipment;

    Inadequate packaging by the Customer;

    Insurance claim rejections;

    Third-party shipping failures.

 

It remains the Customer’s responsibility to ensure:

    Proper industrial-grade packaging;

    Anti-static protection;

    Adequate cushioning and impact resistance;

    Appropriate transit insurance where required.

 

Where a return shipment is lost or damaged in transit, any claim must be pursued directly against the courier or insurer by the Customer.

 

Inspection & Rejection Rights

 

The Supplier reserves the right to reject, refuse, or suspend processing of any return showing evidence of:

    Excessive dust ingress;

    Contamination or debris accumulation;

    Liquid exposure;

    Corrosion or oxidation;

    Physical tampering;

    Broken warranty seals;

    Mixed or non-original components;

    Inadequate packaging;

    Transit damage caused by insufficient protection;

    Missing serial labels;

    Missing internal components;

    Signs of forced opening or unauthorised repair.

 

Where damage occurs due to improper packaging, handling, contamination, tampering, or unauthorised modification:

    The Customer shall bear all associated repair, diagnostic, storage, and return shipping costs;

    Warranty eligibility may be affected;

    The Supplier may return the unit unrepaired at the Customer’s expense.

 

The Supplier shall not be liable for damage caused during return transit where packaging does not meet reasonable protective standards.

 

No Automatic Warranty Acceptance

For the avoidance of doubt:

    Returning a unit for inspection does not imply acceptance of warranty eligibility;

    Receipt of a returned unit does not constitute admission of defect;

    All returned goods are subject to technical assessment prior to any determination.

Nothing in this clause excludes statutory rights where applicable; however, facilitating return shipment or accepting goods for inspection shall not transfer transit risk or create liability beyond what is required by law.

 

 

13. TECHNICAL INSTRUCTIONS & COMMUNICATION

 

Troubleshooting guidance provided by the Supplier is limited to non-invasive checks and external inspection unless expressly authorised otherwise in writing.

 

The Customer is not permitted to open, dismantle, modify, or access internal components without prior written authorisation from the Supplier.

 

All technical instructions, approvals, or authorisations must be confirmed in writing via an official @hashrate.co.za email address.

 

Messaging applications, verbal discussions, voice notes, social media communication, or third-party communications do not constitute formal authorisation and may not be relied upon as instruction or approval.

 

Technical Assistance Form Requirement

 

Prior to providing remote or procedural technical assistance, the Customer may be required to complete a Technical Assistance Request Form issued by the Supplier.

 

The form may require the Customer to:

    Confirm the operating environment and electrical setup;

    Confirm current firmware configuration and performance settings;

    Confirm that the Customer understands the risks associated with accessing or handling sensitive electronic components;

    Acknowledge that assistance is provided as guidance only;

    Accept responsibility for any physical actions undertaken on their equipment.

 

No technical assistance requiring interaction with equipment will be provided until the required form has been completed and submitted.

 

Where assistance is provided following submission of the form:

    The Supplier provides guidance only and does not assume responsibility for execution;

    The Customer remains solely responsible for proper handling, grounding, and environmental control;

    The Supplier shall not be liable for damage arising from improper handling, electrostatic discharge (ESD), misinterpretation of instructions, or unauthorised deviation from written guidance.

Nothing in this clause limits statutory rights where applicable, but assistance provided outside formal warranty processing does not create additional liability.

 

14. EXCLUSION OF CONSEQUENTIAL LOSS

 

To the fullest extent permitted by applicable law, the Supplier shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential loss or damage arising out of or in connection with the supply, performance, failure, delay, repair, replacement, or use of any product.

 

Without limitation, the Supplier shall not be liable for:

    Loss of revenue;

    Loss of mining output or block rewards;

    Loss of cryptocurrency earnings;

    Loss resulting from network difficulty changes or market volatility;

    Loss of anticipated profits or projected return on investment;

    Mining downtime;

    Hosting costs;

    Electricity or infrastructure costs;

    Loss of opportunity;

    Business interruption;

    Operational disruption;

    Loss of production capacity;

    Loss of contracts;

    Loss of goodwill;

    Loss of data or configuration;

    Corruption of firmware or software;

    Loss arising from third-party service providers (including pools, hosting facilities, internet providers, or power utilities);

    Costs associated with alternative equipment, temporary replacement equipment, or expedited procurement.

 

The Customer acknowledges that cryptocurrency mining is a high-risk commercial activity and that hardware downtime or failure may result in economic loss. The Customer accepts that such economic risk forms part of the commercial nature of the activity and shall not give rise to a claim against the Supplier beyond the limited remedies provided in these Terms.

 

Nothing in this clause excludes liability where such exclusion is prohibited by law.

 

 

 

15. LIMITATION OF LIABILITY

 

To the maximum extent permitted by applicable law, the total aggregate liability of the Supplier arising out of or in connection with the supply of any product shall be strictly limited to the original purchase price actually paid by the Customer for the specific product giving rise to the claim.

 

For the avoidance of doubt:

    Liability shall not extend to multiple units unless each unit independently qualifies under applicable statutory obligations.

    Liability shall not exceed the invoiced value of the individual affected unit.

    Liability shall not be aggregated across multiple transactions or orders.

    Liability shall not extend to exchange rate fluctuations, cryptocurrency price movements, or foreign currency exposure.

 

The Supplier shall not be liable for:

    Loss of mining revenue;

    Loss of cryptocurrency rewards;

    Loss of anticipated profits;

    Hosting costs;

    Power costs;

    Infrastructure costs;

    Business interruption;

    Loss of opportunity;

    Loss of data;

    Loss arising from downtime;

    Loss caused by third-party service providers;

    Indirect, incidental, punitive, special, or consequential damages.

 

The Supplier shall not be liable for:

    Failures arising from environmental factors;

    Electrical instability;

    Firmware modification;

    Overclocking or voltage adjustment;

    Internal component alteration;

    Improper packaging during return;

    Electrostatic discharge (ESD);

    Contamination, dust ingress, corrosion, or humidity-related damage;

    Security bypass or manufacturer lock circumvention.

 

Nothing in this clause excludes or limits liability for gross negligence or wilful misconduct where such exclusion is prohibited by law.

 

Where statutory rights apply under the Consumer Protection Act, remedies shall be limited to those expressly provided by the Act and shall not extend beyond the remedies contemplated therein.

 

 

 

16. GOOD FAITH ASSISTANCE & RESERVATION OF RIGHTS

 

Any technical advice, troubleshooting guidance, logistical assistance, expedited handling, cost absorption, component supply, firmware assistance, replacement arrangement, or operational accommodation provided by the Supplier is offered strictly as a goodwill service and commercial courtesy.

 

Such assistance:

    Does not constitute acceptance of liability;

    Does not constitute admission of defect;

    Does not waive any rights under these Terms;

    Does not create precedent for future transactions;

    Does not amend or vary these Terms;

    Does not create an independent repair contract or ongoing service obligation;

    Does not transfer manufacturer responsibility to the Supplier;

    Does not convert discretionary support into a legal entitlement.

 

Where the Supplier, at its discretion:

    Covers shipping costs,

    Supplies replacement components,

    Provides upgraded or refurbished units,

    Facilitates warranty claims,

    Assists with configuration or firmware,

    Overlooks minor non-compliance,

    Accepts units for inspection despite irregularities,

 

such actions are performed without prejudice to the Supplier’s rights and shall not be interpreted as acceptance of responsibility for root cause, causation, or long-term performance.

 

No prior conduct, leniency, delay in enforcement, or failure to object shall be interpreted as:

    Approval of Customer modifications,

    Acceptance of non-compliant operation,

    Waiver of warranty exclusions,

    Or agreement with Customer conduct.

 

The Supplier expressly reserves the right to enforce these Terms strictly at any time, notwithstanding any prior discretionary accommodation.

 

 

17. GOVERNING LAW

 

These Terms are governed by the laws of the Republic of South Africa.

 

Any dispute shall fall under the jurisdiction of the South African courts.
